Format of Memorandum of Association

  1. Area and Scale of Operation:  The area of work will extend to National Region (all India).
  1. Aims and Obectives : The main objectives of the Society are:
  1. To work on Educational Research training & Management including Science and Technology Field.
  1. To work for bringing in sustainable development by taking steps for eradicating poverty, providing elementary, educational, promoting gender equality, improving maternal health, environmental sustainability.
  1. To reach unserved, underserved, backward and unreached areas through “targeted project” mode.
  1. To work for the upliftment of poor sections of society especially women and children bringing betterment in their living environment and improvement in their financials status.
  1. To provide basic necessities to under privileged sections of society by taking necessary actions and to conduct vocational courses, information Technology related courses and imparting necessary training to enable people to be self-sustainable and enable their economic upliftment.
  1. To work toward promotion of policies, instructions and capacities to strengthen the voice and participation of poor and improving their social economic status through democratic governance.
  1. To work towards eradication of illiteracy in well-defined area on carrying out literacy campaigns which area specific time bounding volunteer based, cost effective and outcome oriented.
  1. To help the people in remediation, retention and consolidation literacy skills through guided learning and to help the literates to continue learning through self-directed processes.
  1. To adopt innovation, experimentation, learner evaluation and action research for bringing improvement of functional literacy and adult education program.
  1. To provide quality health care through adoption of social entrepreneurship
  1. To carry out study, research and provide expertise in the area of family rights, children rights and women rights under the broad context of human rights.                                                                                                                                       
  2. To encourage, promote and undertake research and projects to create awareness among physically challenged person, for women empowerment and development, for underprivileged section of society and for children with special emphasis on education, health, environment, socio-economic issues and for the self-sustainable society.
  1. To create environment awareness among the masses, schools, college students etc., by launching various environmental related surveys and data generation on continuous basis on pollutants for better planning.
  1. To network, collaborate with other NGOs, CBOs, and government agencies to foster sustainable environment and natural resources management
  1. To enhance endogenous development and cultural aspects of the management.
  1. Using science and technology and in the fields of preservation of natural resources maintaining ecological balance afforestation, to promote use of non-conventional and renewable resources and to create awareness about evils of soil erosion and depletion of natural resources
  1. To work in an integrated manner for holistic development of rural areas by catering to the needs of people and work for the development of untouched areas.
  1. Arranging Seminars, workshops, tanning programs, symposia, lectures, debates, panel discussions, conferences and courses on current  research topics and other topics of international, national and local interest pertaining to research, training and applied aspects of social and development related issues.
  1. To promote and inculcate responsible attitude towards the current social scenario among the civil societies, NGOs and government organization, PRIs and social institutions.
  1. To conduct study, research and undertake projects in the field of urban and rural development and to bring improvement in infrastructure.
  1. To undertake studies, research, projects, designs, implementation, appraisal, monitoring and evaluation of assignments in sectors such as civil service reform, economic reform, governance, financial management, institutional strengthening and development, capacity building, human resource development, physical infrastructure, social infrastructure such as education, health and nutrition, water supply and sanitation, sustainable livelihood, tourism, urban development, disaster management and natural resources management and environment.
  1. To build strong instructional capacity for better governance at Centre state, district and field levels.
  1. To provide technical guidance to an individual or agency for promoting the aim and objectives of the society
  1. To develop the database, maps, web pages and other online instruments that will promote the objectives of the society.
  1. To undertake and execute all acts that can promote all or any of the objectives of the society.
  1. To run and organize courses for technical and formal education in all fields and development of technical knowhow.
  1. To establish, run and manage schools, colleges, educational institutions and to organize computer courses and technical & vocational education with the help and aid from the Govt. agencies. Institutions, societies, trusts etc. And for the said purpose establish institutions, computer centers at villages, districts, state at all India level.
  1. To help and train poor, orphans and handicapped persons.
  1. To provide free legal Aid.
  1. To promote sports, provide sports and games facilities, organize tournaments and sports-meets and functions.                                                                                              
  2. To construct and manage orphanages & Mahila-Ashrams.
  1. To provide medical facilities to the General Public and infirm people, run and maintain hospitals.
  1. To work for eradicating the evil dowry and harassment to women
  1. To prevent child abuse.
  1. To oppose and reform miscreants and criminals of society.
  1. To oppose the habit of drinking and work for removing the ill habits of drugs and narcotics etc. and extend full help to the authorities to remove and contain the said evil.
  1. To acquire by purchase, take on lease, hire or by gift and hold any movable or immovable proprieties or any rights or privilege that may be deemed necessary or useful for the advancement of the objects of the society.
  1. To take necessary step for obtaining the income tax exemption certificate under section 80-G (5-6), 12A or any other Provision of Income tax Act 1961 from the Income Tax Department and 35 AC, 35-I, II, III, FCRA etc. for fulfill the objectives of the society.
  1. All the incomes, earnings, moveable or immovable proprieties of the society shall be society utilized and applied towards, the promotion of its aims and objectives only as set forth in the Memorandum of Association and no profit shall be paid or in any other manner whatsoever to the present or past members of the society or to any other person clamming through and one or more of the present or past members. No members of the society shall have any personal claim on any movable or immovable properties of the society or make any profit whatsoever, by virtue of his\ her membership.

If the society needs to be dissolved, it shall be dissolved as per provision laid down under section 13 & 14 of the Societies Registration Act,1860, as applicable to the National Capital Territory of Delhi.

If the Society is dissolved due to any reason, all the Income, earning, movable & immovable proprieties of the society should not be distributed to any society members. It must be transferred to any other society which is working in the same area with same objectives. Society members shall vote and based upon majority voting, beneficiary society should be selected to transfer the assets in case Society dissolved.

Format of Rules and Regulations


  1. Name of Society: _________________________________.
  2. Interpretation: In these rules, unless the context otherwise requires:

The Society shall mean ----------------------------------------------.

The Executive Committee means the Executive Committee of the Society.

General Body means the general body of the Society.

Institutional, associate Members- (All that goes under this ) means individual and/or institution, trust, department, association or society including a university or a college admitted as such under rules.

‘Rules’ means and Rules of the Society, as amended from time to time.

‘Prescribed’ means prescribed by the Bye Law made by the Executive Committee of the Society.

The word ‘his’ will mean ‘his/her’.

  1. Composition of the Society:

The Society shall consist of:

  1. Executive Committee
  2. General Body


  1. Membership:

      There will be following categories of membership:

  1. Founder Member
  2. Life Member
  3. Ordinary Member
  4. Honorary Member
  5. Associate Member


  1. Qualification of Member:

Foundation Member: Founder Member will be those individual who have signed the memorandum of association of the society and have paid the membership fee of Rs.______/-. The founding members will be the members of the society for life.

Life Members: those individual, who can contribute to the aims and objectives of the society and are considered suitable by the Executive Committee, shall be admitted as life members of the society on payment of a fee prescribed by the Executive Committee.

Ordinary Members: Any individual who is considered suitable for the membership by the subscription fee prescribed from time to time.


Honorary Member:  The Executive Committee may invite and admit such eminent persons as it deems fit, to be the honorary members of the society.

Associate Member: The individual or associations considered suitable be the Executive Committee may be admitted as such without payment of any admission fee and annual subscription.

Provided further that an applicant for membership will be duty proposed by an existing members and shall be admitted only if considered fit for membership be the Executive Committee. The payment of admission fee/subscription alone does not give the right to membership.

The Executive Committee shall provide by means of resolution and by laws, terms and conditions and rights as it may be fit for all classes and types of membership other than founder membership.

  1. Cessation of Membership

Any member can cease to be a member by giving in writing his intention to so retire. The Executive Committee can terminate the membership of an ordinary, associate or honorary member, if such a member:

  1. Acts against the aims and objectives of the society or
  2. Does not pay the required membership fee or any other dues or
  3. Executive Committee considers it in the best interest of the society to terminate the membership of a particular member.

The President of shall be the general secretary of Executive Committee. Rest of the officer Beareres shall be amongst the Executive committee and shall be appointed in the Executive Committee meeting by Majority Vote.

First set of members of the Executive Committee has been named in the Memorandum of the society. The President of the society, General Body can elect other members of the Executive Committee from amongst the other members of the society. The total number of members of the Executive Committee shall not exceed 10 and at no time shall be less than 4.

Any member of Executive Committee can cease to be a member of the same by giving to President, in writing, his intention to do so. The existing members of Executive Committee, by majority resolution, can remove any members of committee. Existing members of Executive Committee can admit new members in the Committee by majority decision.


  1. Office Bearers

The following shall be the office bearers of the society

  1. President
  2. Vice-President
  3. General Secretary
  4. Joint Secretary
  5. Treasurer


The office bearer of the society shall be from the members of Executive Committee. Execpt    President and General Secretary, Rest of the office Bearer shall be from amongst the Executive Committee and shall be appointed in the Executive Committee Meeting by majority vote.

The first office- Bearers of the Society are names in the memorandum of association.

  1. Power & Duties of Office Bearers:

All office bearer shall hold office for 3 years. However an office bearer can vacate his/her office by submitting a resignation to the Executive Committee. Otherwise the majority members of Executive Committee can decide to remove any existing office bearer. After the completion of terms of three years, an office bearer can remain his office till the next meeting of Executive Committee as applicable.

  1. Fix the date and place of meeting of the general body. The president may also fall for a special meeting of the general body.
  2. Exercise such powers as may be assigned to him by the Executive Committee or General Body.
  3. Manage the affairs of the society with Executive Committee.

In General Body and in the Executive Committee, the President shall have one vote and in addition he/she shall have one casting vote in case of tie on an issue.


  1. Vice President: The Vice President shall assist the President in performing his /her duties. In the absence of the President, the Vice-President will at an president and enjoy all power and privileges vested in the President.
  1. General Secretary: He shall
  1. Conduct official correspondence on behalf of he society.
  2. Initiate Projects and programs for the growth of the society.
  3. Issue notices for the meetings of the society and of executive committee.
  4. Keep the minutes of all the meetings.


  1. Prepare the Annual Report of the society.
  2. Represent the society before any Authority/Court of Law.
  3. Be the custodian of the records and property of the society
  4. Receive applications for memberships and resignations on behalf of Executive Committee.

       Sign all contracts and assurances of property made on behalf of the Society

  1.  Joint Secretary: He shall assist General Secretary for performing his duties and in the absence of the General Secretary, he shall act as secretary and perform all his duties.


  1. Treasurer: He shall


  1. Maintain ash balance with him which required for routine expenses
  2. Incur petty expenditure as sanctioned and authorized by the President.
  3. Prepare and present to the Executive Committee annual Budget and Statement of Account.
  4. Issue receipts for any money paid to Society or authorize any paid staff to do so in his absence.
  5. Operate the Bank Account.


The Executive Committee may appoint any staff that it considers necessary and may allot appropriate duties to them.


  1. General Body:


General Body of the Society shall consist of all Founding Members and Life Members. However Executive Committee may by means of resolution, make rules for other types of members to be included in the general body.

  1. Power and Duties of General Body


The General Body shall have the following powers:


  1. Electing the President and General Secretary of the society
  2. Apporving the Annual Accounts and Budget of the society
  3. Amending the Rules, but only if ratified by the Executive Committee
  4. Framing Bye-Laws and produres
  5. Performing all other jobs as necessary and in conformity with the act.


  1. Bank Account:


The Bank Account of the society shall be opened by Treasurer and one more signatory out of other Bearers as decided by the Executive Committee.


  1. Quorum of meetings:


For the Executive Meeting, one third of the total strength of subject to minimum two shall be quorum of meeting. 30 days notice is given to the all members along with agenda for calling general body meeting, place, time and venue of the meeting.


  1. Financial Year

The financial year of the society shall be from 1st April to 31st March.


  1. Auditing of Accounts:

The Accounts of society shall be audited by Chartered Accountant.


  1. Sources of income and utilization of funds through admission fee, membership fee, additional charges, grants form Government, non-government bodies or international bodies and shall utilize the funds for furtherance of the objectives of society.


  1. Application of the Act

 All the provisions under tail the sections of the Socities Registration Act, 1860 as applicable to the Union Territory of Delhi shall be applicable to this society.

  1. Election:

The governing body of the society shall be elected for a term of 3 year in the general body meeting. The raising hands shall be the mode of election. The election officer nominated by the governing body will conduct the election of the society.
